Terms & Conditions

Legal terms governing your use of Voxelrift services

1. Acceptance of Terms

By accessing our website, requesting our services, or entering into a service agreement with Voxelrift, you agree to be bound by these Terms & Conditions. If you do not agree, you may not use our services.

These terms apply to all persons aged 18 and above. We do not provide services to minors or those without legal capacity to enter agreements.

2. Services Description

Voxelrift provides AI implementation services, primarily in three areas:

  1. AI for Manufacturing Quality — computer vision for defect detection
  2. Text Summarisation Engine — automated document processing and summarisation
  3. AI Readiness Workshop — strategic planning and organisational readiness assessment

Services are provided as specified in individual project agreements, with timelines, scope, and pricing outlined in writing before work begins.

3. Engagement Terms

Service Commencement

Services commence upon execution of a written project agreement or receipt of a signed quote/service order. Verbal agreements are not binding.

Scope and Changes

Project scope is defined in writing. Changes to scope, timeline, or deliverables requested outside the original agreement may incur additional fees. We will provide written estimates for scope changes before proceeding.

Client Responsibilities

You agree to:

  1. Provide accurate information about your operations and requirements
  2. Make necessary personnel available for consultation, training, and testing
  3. Provide access to facilities, systems, and data as required for implementation
  4. Make timely decisions on design choices and integration approaches
  5. Ensure internal stakeholder buy-in and support for the project

4. Pricing and Payment

Fees

Prices for our services are fixed, per-project, and specified in writing before work begins. Our standard pricing is:

  1. Manufacturing Quality: HKD 12,000
  2. Text Summarisation Engine: HKD 6,800
  3. AI Readiness Workshop: HKD 4,200

Custom engagements outside these services are priced individually and confirmed in writing.

Payment Terms

Payment terms will be specified in your service agreement. Standard terms are 50% upon project initiation and 50% upon completion. We accept bank transfer and recognised corporate payment methods.

Late payment may result in suspension of services. Overdue amounts incur interest at 8% per annum from the due date.

Currency

All prices are in Hong Kong Dollars (HKD). International payments should be adjusted for current exchange rates and may incur banking fees.

5. Timeline and Delivery

Timelines provided are estimates based on standard conditions. We aim for:

  1. Manufacturing Quality: 6–10 weeks
  2. Text Summarisation: 3–5 weeks
  3. AI Readiness Workshop: 1–2 days

Timelines assume client responsiveness, timely data provision, and agreed-upon working conditions. Delays caused by client factors (data unavailability, stakeholder unavailability, scope changes) may extend timelines without additional cost, but we will communicate delays promptly.

6. Intellectual Property

Client Data

All data, documents, images, and information you provide remain your property. We use it solely to deliver the agreed services and will not share it externally without explicit permission.

Models and Systems

AI models, code, and systems we develop are jointly owned where embedded in your systems. You have full operational rights and may modify or build upon them. We retain rights to general methodologies and architectures that can be applied to other clients.

Documentation

All documentation, training materials, and operational guides we create for your project are yours to keep and modify as needed.

7. Limitations and Disclaimers

No Guaranteed Results

We provide systems designed to improve processes — reduce false rejects, speed document review, clarify strategy — but cannot guarantee specific performance outcomes. Results depend on your data quality, operational implementation, and ongoing refinement.

Data Quality Dependency

AI systems depend on data quality. If your historical data contains errors, inconsistencies, or bias, models may reflect those issues. We will document data limitations discovered during implementation.

Professional Judgment Still Required

Our systems assist decision-making but do not replace professional judgment. Quality engineers should still review flagged items. Lawyers should still review summarised documents. Decision-makers should validate strategic assessments against their specific context.

Service Availability

While we maintain systems carefully, we cannot guarantee 100% uptime. We will notify you of planned maintenance and work to minimise unplanned downtime.

8. Limitation of Liability

To the extent permitted by Hong Kong law, our total liability for any claim arising from our services shall not exceed the fees paid by you in the 12 months prior to the claim. We are not liable for indirect, incidental, special, or consequential damages (including lost profits, lost revenue, or lost data) even if advised of the possibility of such damages.

9. Confidentiality

We treat your operational information, business data, and project details as confidential. We do not disclose client information without permission, except where required by law or court order. We will notify you of any legal demand for your information.

We may reference successful implementations in case studies (anonymously, unless you agree otherwise) for marketing purposes.

10. Termination

By You

You may terminate an engagement in writing. Fees for work completed to date remain due. Early termination may result in loss of benefits from incomplete milestones.

By Us

We may suspend services if:

  1. Fees remain unpaid 30 days past the due date
  2. You materially breach these terms or service agreement terms
  3. Continuing work would violate law or pose unacceptable risk

We will provide notice and reasonable opportunity to remedy before suspension.

11. Dispute Resolution

Informal Resolution

If a dispute arises, we encourage direct discussion between project contacts. Most disagreements can be resolved through clear communication.

Formal Resolution

If informal resolution fails, either party may initiate mediation or arbitration. Disputes are governed by the laws of Hong Kong and adjudicated through Hong Kong courts unless both parties agree otherwise.

12. Changes to These Terms

We may update these terms periodically. Updates apply to new engagements immediately. For existing projects, we will provide notice of material changes. Continued engagement after notice constitutes acceptance.

13. General Provisions

Entire Agreement

These terms, together with any written service agreement or project proposal, constitute the entire agreement between us and supersede all prior agreements.

Severability

If any provision is found invalid or unenforceable, the remaining provisions remain in force.
